1. INTRODUCTION
These Terms of Service ("Terms") govern your access to and use of AdsKompass, an artificial intelligence-powered Meta advertising management service ("Service") operated by AdsKompass Marketing, a sole proprietorship registered in Malaysia ("we", "us", "our", or "AdsKompass").
By subscribing to or using our Service, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. DESCRIPTION OF SERVICE
AdsKompass provides:
- AI-Generated Analysis of your Meta advertising campaigns, including performance metrics, audience insights, and creative effectiveness.
- Optimization Recommendations based on artificial intelligence analysis of your campaign data and industry benchmarks.
- Approval-Gated Actions — All recommended changes require your explicit approval via Telegram before execution. AdsKompass will never make unauthorized changes to your Meta advertising accounts.
- Reporting Services — Daily informational reports and weekly recommendation reports delivered via Telegram messaging platform.
- Safety Controls — Automated safety measures including maximum budget change limits, daily spend caps, and cooldown periods on new campaigns.
3. ELIGIBILITY
To use our Service, you must:
- Be at least 18 years old
- Be a Malaysian citizen, permanent resident, or a legally registered business entity in Malaysia
- Own or have authorized access to a Meta Business Manager account
- Have valid Meta advertising accounts with sufficient funding
- Have the legal authority to bind your business to these Terms
4. SUBSCRIPTION AND PAYMENT
4.1 Pricing Tiers
Founders Pricing:
- RM 444 per month for the first five (5) clients only
- This pricing is locked for the lifetime of the client's active, uninterrupted subscription
- Cancellation and re-subscription forfeits Founders pricing eligibility
Standard Pricing (Client 6+):
- RM 888 per month
- Standard tier applies to all clients after the first 5 Founders spots are filled
Pro Pricing (Future Multi-Platform Tier):
- RM 2,388 per month
- Available when additional advertising platforms are integrated (Google, TikTok, etc.)
4.2 Billing Cycle
- Monthly subscription billed in advance
- First payment due upon subscription activation
- Subsequent payments due on the same date each month
- Payment methods: FPX bank transfer, PayPal, or as specified in your subscription agreement
4.3 Payment Failure
- If payment fails, we will attempt to notify you within 24 hours
- You will have a grace period of 3 business days to resolve payment issues
- Continued failure will result in service suspension
- Data will be preserved during grace period per our Data Retention policy
5. MONEY-BACK GUARANTEE
5.1 30-Day Money-Back Guarantee
For your first month of service, if you are unsatisfied with AdsKompass, you may request a full refund of your subscription fee subject to the eligibility conditions below.
5.2 Eligibility Conditions
The guarantee applies if ALL of the following are true:
- Request is made within 30 days of your initial subscription date
- You have NOT approved 3 or more recommendations for execution on your Meta advertising accounts
- Request is for the AdsKompass subscription fee only (not Meta ad spend)
- You have not violated these Terms of Service
5.3 Automatic Disqualification
Once you have approved 3 or more recommendations for execution, you have received meaningful service value and the money-back guarantee no longer applies. Standard cancellation terms take effect (Section 6.2).
5.4 Refund Process
- Email refund requests to thomas@adskompass.com with subject "Refund Request"
- Include your business name and reason for cancellation
- Refunds processed within 7 business days after eligibility confirmation
- Original payment method will be credited
- Data handling follows our Data Retention policy after cancellation
5.5 What Is Refunded
- ✅ AdsKompass subscription fee (RM 444, RM 888, or RM 2,388 depending on tier)
5.6 What Is NOT Refunded
- ❌ Advertising spend on Meta platforms (that money went to Meta, not AdsKompass)
- ❌ Losses or damages from advertising campaigns
- ❌ Consequential business losses
- ❌ Subscription fees for months beyond the first
- ❌ Fees paid before the first 30 days if you approved 3+ recommendations
5.7 After the 30-Day Period
- No refunds available after the initial 30-day guarantee period
- Standard monthly cancellation applies (Section 6.2)
- You may cancel anytime, but no partial-month refunds
- Founders Pricing is forfeited upon cancellation and cannot be restored upon re-subscription
6. MONTHLY SUBSCRIPTION TERMS
6.1 Automatic Renewal
Your subscription will automatically renew each month unless cancelled. Renewal fees will be charged to your payment method on file.
6.2 Cancellation
- You may cancel at any time via email to thomas@adskompass.com
- Cancellation takes effect at the end of the current billing period
- No partial-month refunds after the initial 30-day guarantee period
- You retain access to the Service through the end of your paid period
6.3 Suspension by AdsKompass
We may suspend or terminate your account if:
- Payment is not received within grace period
- You violate these Terms
- You misuse the Service
- Legal or regulatory requirements demand it
- Fraudulent or illegal activity is detected
7. AI-GENERATED RECOMMENDATIONS DISCLAIMER
7.1 Nature of Recommendations
AdsKompass uses artificial intelligence to analyze data and generate advertising recommendations. These recommendations are informational and advisory only.
7.2 No Guarantee of Results
- AdsKompass does not guarantee specific results, return on ad spend (ROAS), or campaign performance outcomes
- Advertising results depend on many factors beyond AdsKompass's control including but not limited to: product quality, market conditions, Meta's algorithm changes, seasonal factors, and competitive activity
- Past performance is not indicative of future results
7.3 Client Decision-Making
- All advertising decisions remain the sole responsibility of the Client
- The Client must review and approve each recommendation before it is executed
- AdsKompass acts as an advisory tool, not a decision-maker
- The Client is responsible for compliance with Meta's advertising policies and all applicable laws
7.4 AI Limitations
- AI-generated recommendations may occasionally contain errors, be based on incomplete data, or fail to account for context specific to your business
- The Client should apply their own judgment before approving any recommendation
- When in doubt, consult with a qualified marketing professional
8. META ACCOUNT ACCESS
8.1 Authorization
By using AdsKompass, you authorize us to access your Meta Business Manager account and connected advertising accounts through official Meta APIs.
8.2 Access Method
- Access is granted through Meta's official OAuth authorization system
- AdsKompass does NOT store or have access to your Meta login credentials
- You can revoke access at any time through Meta Business Settings
8.3 Scope of Access
AdsKompass will access:
- Campaign performance data
- Advertising account information
- Creative assets and copy
- Audience insights
- Billing information (read-only)
AdsKompass will NOT:
- Change your Meta account passwords
- Access personal Facebook messages or non-advertising data
- Share your access with third parties (except as required by our AI service providers)
- Use your data to benefit other clients directly
8.4 Client Responsibility
- You are responsible for maintaining your Meta Business Manager account
- You are responsible for keeping your Meta advertising accounts in good standing
- You must comply with all Meta advertising policies
- Account bans or restrictions imposed by Meta are your responsibility
9. SAFETY CONTROLS AND LIMITATIONS
AdsKompass implements the following safety measures which cannot be waived by the Client:
9.1 Budget Change Limits
- Maximum 20% budget change per approval to prevent Meta learning phase disruption
9.2 Daily Spend Caps
- Client-specific daily spend caps to prevent runaway spending
- Default cap is RM 500 per day
- May be adjusted based on Client's monthly advertising budget
9.3 New Campaign Cooldown
- Minimum 7-day observation period before recommending changes to newly launched campaigns
9.4 Two-Tap Confirmation
- All budget changes and campaign actions require two-step confirmation via Telegram
9.5 Audit Trail
- All actions, recommendations, and approvals are logged for accountability and compliance
These safety controls protect both the Client's advertising budget and AdsKompass's ability to provide reliable service. They are non-negotiable.
10. CLIENT OBLIGATIONS
You agree to:
- Provide accurate business information during onboarding
- Provide valid Meta Business Manager access
- Review and respond to recommendations in a timely manner
- Maintain sufficient advertising budget in your Meta accounts
- Comply with all applicable laws and Meta's advertising policies
- Not use the Service for illegal, fraudulent, or harmful purposes
- Not attempt to reverse-engineer, copy, or resell the Service
- Not share your AdsKompass access with unauthorized parties
- Maintain the confidentiality of communications with AdsKompass
11. INTELLECTUAL PROPERTY
11.1 Ownership of Service
All software, algorithms, methodologies, reports templates, and technical infrastructure of AdsKompass are the exclusive property of AdsKompass Marketing.
11.2 Client Data Ownership
- You retain full ownership of your business data, campaign data, and creative assets
- Recommendations generated for you specifically belong to you
- You may use these recommendations freely for your business purposes
11.3 Aggregated Learning
- AdsKompass may use anonymized, aggregated patterns from client campaigns to improve the Service for all users
- This aggregated data does not identify any specific client

11.4 Feedback
Any feedback, suggestions, or improvements you provide may be used by AdsKompass to enhance the Service without compensation to you.
12. LIMITATION OF LIABILITY
12.1 Service "As Is"
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
12.2 No Liability for Advertising Losses
To the maximum extent permitted by Malaysian law, AdsKompass Marketing shall not be liable for:
- Advertising spend losses on Meta platforms
- Lost profits, revenue, or business opportunities
- Consequences of following AI-generated recommendations
- Meta account bans, restrictions, or policy violations
- Data loss (except due to our gross negligence)
- Third-party service failures (Meta API, Anthropic API, Telegram, etc.)
- Force majeure events
12.3 Maximum Liability
In no event shall AdsKompass's total liability exceed the amount paid by you in the three (3) months preceding the claim.
12.4 Malaysian Consumer Protection
Nothing in these Terms limits any rights you may have under the Malaysian Consumer Protection Act 1999 that cannot be waived by contract.
13. INDEMNIFICATION
You agree to indemnify and hold harmless AdsKompass Marketing, its owner, and affiliates from any claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your advertising content or campaign decisions
- Meta policy violations by your advertising
14. THIRD-PARTY SERVICES
AdsKompass integrates with third-party services including:
- Meta (Facebook, Instagram) — For advertising platform access
- Anthropic — For AI-powered analysis and recommendations
- Telegram — For communication and approval workflows
- DigitalOcean — For secure cloud hosting
Your use of these third-party services is subject to their respective terms of service and privacy policies. AdsKompass is not responsible for the performance or policies of these third parties.
15. DATA HANDLING
The collection, use, and protection of your personal and business data is governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy complies with the Malaysian Personal Data Protection Act 2010 (as amended by the Personal Data Protection (Amendment) Act 2024).
16. TERMINATION
16.1 By Client
You may terminate your subscription at any time as described in Section 6.2.
16.2 By AdsKompass
We may terminate your account with 30 days' notice for any reason, or immediately for:
- Material breach of these Terms
- Non-payment
- Fraudulent activity
- Legal or regulatory requirements
16.3 Effect of Termination
Upon termination:
- Your access to the Service ends
- Data handling follows our Privacy Policy (Section 15)
- Payment obligations for services already rendered remain
- Sections 11 (IP), 12 (Liability), 13 (Indemnification) survive termination
17. CHANGES TO TERMS
We may modify these Terms at any time. Material changes will be notified to you:
- Via email to your registered address
- Via Telegram to your registered chat
- On our website at https://adskompass.com/terms
Continued use of the Service after notification constitutes acceptance of the modified Terms. If you disagree with changes, you may terminate your subscription as described in Section 6.2.
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1 Governing Law
These Terms are governed by the laws of Malaysia.
18.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Selangor, Malaysia.
18.3 Informal Resolution
Before initiating legal proceedings, both parties agree to attempt informal resolution by contacting thomas@adskompass.com and allowing 30 days for good-faith negotiation.
19. GENERAL PROVISIONS
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdsKompass Marketing regarding the Service.
19.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full force.
19.3 No Waiver
Failure to enforce any provision does not waive our right to enforce it later.
19.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or transfer of our business.
19.5 Force Majeure
Neither party shall be liable for failures caused by circumstances beyond reasonable control, including but not limited to internet outages, third-party service failures, natural disasters, government actions, or pandemics.
